UVU "SNAP YOUR SPIRIT" Contest - Terms and Conditions

  1. Eligibility Criteria
    1. Contest is sponsored by Utah Valley University, 800 West University Parkway, Orem, UT 84058, (“Sponsor”) who is solely responsible and authorized for all aspects, terms and conditions of this contest.
    2. The Contest is open to all current UVU students, who are 18 years of age or older as of "Contest Start Date." Void where prohibited or restricted by law. All federal, state and local laws, rules and regulations apply. By participating, entrants agree to abide by all terms of these Official Rules and to the decisions of all reviewing, judging and voting, and waive any right to claim ambiguity in the Contest or these Official Rules.
  2. Entry Requirements
    1. NO ENTRY FEES REQUIRED AND NO PURCHASE NECESSARY TO ENTER OR WIN.
    2. A purchase will not increase your chances of winning. Participation constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules, including terms and conditions. The UVU Snap Your Spirit Contest (“Contest”) will be held online as follows:
      1. March 11, 2019 at 8:00PM Mountain Time (“MT”), also “Contest Submission Start Date”
      2. April 12, 2019 at 11:59PM Mountain Time (“MT”), also “Contest Submission Deadline”
      3. March 11-April 12, 2019 at 11:59PM Mountain Time (“MT”), also “Contest Public Voting Period”
  3. Submissions
    1. Each image submission must demonstrate positive promotion of the brand of Utah Valley University by including the positive display and wearing of UVU Bookstore apparel and merchandise within the image.
    2. All photo submissions must be uploaded and posted to INSTAGRAM® using a personal account.
    3. Only single images will be permitted. No collages, carousels or sliders will be accepted for the contest.
    4. Posted images must include the full hashtag #SNAPYOURSPIRIT in the photo caption and tag @UTAH.VALLEY.UNIVERSITY, to be considered valid for the Contest.
    5. Images must be “posted” to INSTAGRAM® within the contest submission timeframe.
    6. Personal References: Images should not contain any personal identifying information, such as license plate numbers, email addresses, telephone numbers or street addresses.
    7. Keep original content in a safe place. Contest Sponsor may request original content at a later date, during or after the contest.
    8. No direct mail in, walk in, email, or jump drive entries will be accepted for this contest.
  4. University Trademark Use
    1. Restricted use of UVU Trademarks (Academic and Athletic, or in name) will be available for this specific contest use. Official marks may be found for download, online at https://uvu.edu/marketing/guidelines/identity.html
    2. This contest does not authorize any person and/or company to produce trademark licensed merchandise, products, promotional materials and media.
    3. Use of UVU Trademarks may not be distorted, altered, changed, combined, flipped, broken, or skewed in any way, shape, form, or color.
    4. All UVU Trademarks are produced in only three approved colors:
      1. UVU Green: PMS 7483C
      2. Black
      3. White
  5. Prizes
    1. Contest prize packages will be listed on the Sponsor’s contest page.
    2. Specific terms, conditions and exclusions may apply to some prizes.
  6. Winner Announcements and Requirements
    1. Winners will be publicly posted and announced on the UVU Bookstore’s INSTAGRAM® Page: @UVUBookstore.
    2. Winners may be requested to offer support, including personal and background information, for promotional activities, campaigns and key events related to the contest.
  7. Image Guidelines
    1. Image Format: All image submissions must be made in a photo INSTAGRAM® format. (See Submissions)
    2. Image Production: Images are expected to be well produced, but may be done using any technology (cameras, smartphones, animation, etc.) and edited by the participants themselves.
    3. Image Quality: Images with poor, blurry or other low visual quality may not be accepted by Sponsor.
    4. Watermarks: All image submissions must be submitted without any non-university or third-party watermarks.
  8. Content Restrictions
    1. All submissions and content must not contain material that violates and/or infringes on another(s) rights, including but not limited to privacy, publicity, intellectual, property, copyright and/or trademark infringement.
    2. All submissions and content must not disparage, in any way, the Sponsor, affiliated party, or any other person associated with the contest.
    3. All submissions and content must not contain images, sounds, and/or artwork not properly and legally created or acquired by the contest participant.
    4. All submissions and content must not contain material or content that is: inappropriate, indecent, obscene, lewd, profane, hateful, demeaning, pornographic, fraudulent, false, misleading, tortious, deceptive, vulgar, offensive, threatening, defamatory, slanderous or libelous; promotes bigotry, racism, sexism, hatred, violence or harm against another group, individual, or brand; promotes discrimination based on race, gender, religion, nationality, disability, age, and sexual orientation.
    5. All submissions and content must not contain references, content or material that is in any way unlawful, or in violation of Federal, State and local laws, regulations, and policies.
    6. All submissions and content must not contain or espouse obscene or offensive conduct, extraordinary dangerous acts, reckless acts, or evidence inexperience with Sponsor.
    7. All submissions and content shall not directly contain and/or depict products or brands competitive with those of the Sponsor.
  9. Contest Voting and Voter Eligibility
    1. Voting Period: During the period beginning on March 11, 2019 and ending at 11:59pm MT on April 12, 2019 at 11:59PM MT (the “Voting Period”), visitors to the official contest website will be able to cast a vote for their favorite submission(s).
    2. Voters may submit or cast their votes, by liking images online through INSTAGRAM®.
    3. Voters may have to submit names, profiles, addresses, phone numbers, and email addresses for each submitted vote.
    4. All eligible votes must be received during the submission, review and voting periods.
    5. Votes will not be accepted after the contest winners are announced.
    6. Votes will be tallied after the voting period ends, to review and determine the finalist(s) submissions.
    7. Participants may not use purchase 3rd party “likes/views” from fake accounts.  Contestants that use 3rd party like/view services will be disqualified.
    8. Payment for votes will not be accepted. 
    9. Votes will only count as a small portion of the selection weight.  The majority of the selection process will remain under the discretion of the Sponsor, through UVU University Marketing.  (See Selection of Winners)
  10. Selection of Winners
    1. At the end of the Voting Period, a panel of Sponsor representatives will tally or count the number of votes given for each eligible submission. In all matters relating to this contest, the decisions of this panel are final and binding.
    2. Once voting tallies are counted, the Sponsor’s panel reserves the right to perform a final submission review and cast panel votes.
    3. The Sponsor reserves all rights to disqualify any participant, winner, team, submission, application and may refuse to award any prize to a person who is deemed ineligible and/or has violated any rule, gained unfair advantage in participating in the contest, or obtained status and/or votes using fraudulent means.
    4. The majority of the selection process will remain under the discretion of the Sponsor.
  11. Notification of Winners
    1. All potential and/or selected winners will be notified via INSTAGRAM® or by personal contact using email and/or phone.
    2. In order for a winner to claim their prize, the potential winner must respond within three (3) days of Notification and may be required to sign and return an Affidavit of Eligibility, Liability Release, and any other additional documents required by the Sponsor. Failure to comply with this notification and response timeframe and the Sponsor’s chosen and specified contest requirements, will result in the winner forfeiting the prize and being disqualified. In this event, the Sponsor will select an alternate potential winner at random from among remaining eligible entries.
  12. Additional Terms and Conditions
    1. Internet Limitations of Liability
      1. If for any reason this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest in whole or in part, at any time, without notice and award the prizes using all non-suspect eligible entries received as of this termination date. The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Contest or downloading any materials in this Contest.
      2. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
    2. Submission Rights and Licensing Rights
      1. Copyright of each submission remains with the respective entrants. However, in consideration of the contest and possibility of winning one of the prize(s), each entrant grants the Sponsor a non-exclusive worldwide, royalty-free, perpetual, irrevocable, fully paid-up, sub-licensable license to feature any, all or portions of the submitted materials and content in any and all media for publicity and marketing purposes. This implies that any entry can be used for both promotional and for-profit purposes.
      2. All contest participants grant the Sponsor a non-exclusive worldwide, royalty-free, perpetual, irrevocable, fully paid-up, sub-licensable license to use, reproduce, prepare derivative works, copy, edit, adapt, modify, distribute, reference, store, cache, license, sell, transfer, publicly display, publicly perform, transmit, publish, stream, broadcast and otherwise exploit such Submission, in whole or in part, for commercial or non-commercial purposes, including but not limited to the marketing, promoting and advertising of Sponsor’s brand or brands, products and services, monetization of content through advertising, subscription, licensing and other means, including as incorporated in video, audio, visual content, images, text, graphics, sound, music, artwork, photographs, templates, and other content or materials created by or on behalf of Sponsor (the “Sponsor Materials”), on and through third-party distribution channels selected by, but not affiliated with, Sponsor; you also grant Sponsor the right to sublicense these rights to third parties for distribution via third party distribution channels, which may include viral distribution of your Submission (Entrant agrees that neither Sponsor nor any third party distribution channels have any obligation to provide any compensation to you for your Submission or the licenses granted herein), in any form, medium or technology now known or later developed.
      3. All submissions agree that the Sponsor and affiliates, officers, and partner/s may publish participant(s) personal names, nicknames, likeness, rights of publicity, voice, performance, autograph, photographs and biographical information in connection with this video contest and all associated promotional marketing and campaigns.
      4. All submissions that are submitted, used, uploaded and made available for viewing by the general public will be deemed posted at the direction of the entrant within the meaning of the Digital Millennium Copyright Act and the Communications Decency Act.
    3. Responsibility of Permissions and Consent
      1. It is the full responsibility of each entrant to ensure that all submission content has been taken with the permission of the subject(s) (or, where the submission shows any underage persons, the consent of their parent) and/or venue/location/photo or sound owner and does not infringe on the copyright of any third party. Entrants guarantee that they own the copyright for the submissions and for the usage rights required by the contest, and that their entry does not infringe on the privacy rights, copyright or any other rights of any person.
    4. Prize Restrictions and Availability
        1. All prizes are limited use and cannot be assigned or transferred to another person. All prizes are as is and cannot be substituted or redeemed for cash. All prizes are subject to availability, blackout dates, limitations, specific terms and conditions, use restrictions, determined by the Sponsor. All prizes not claimed and/or used within their assigned timeframe, provided by the Sponsor, will be forfeited. If a prize or any portion of the prize cannot be awarded due to circumstances beyond the control of the Sponsor, then a substitute prize may be awarded at sole discretion of Sponsor. Prize substitutions will be of similar or less equivalent value, determined solely at the discretion of the Sponsor. Winners are responsible for any risk of loss associated with the prize or any portion of the prize after it has been delivered.  All prizes must be claimed and redeemed within 90 days after the contest submission deadline, or any and all prizes will be forfeited.
        2. All prize details are determined solely by the Sponsor. Sponsor will only be responsible for the delivery of prizes.
        3. Delivery of prizes: Prizes will not be mailed and will only be available for in-person pick up on UVU’s campus, during specific dates.
        4. Prizes can be subject to change, by the Sponsor, before, during or after the duration of the contest.
        5. Prizes will be awarded to single submission winner(s) as submitted through contest entry. Sponsor will not be responsible for team/group submissions and the dividing up of prize packages, if awarded to one person.
        6. Contest winners will be regulated and may only claim one prize package.
    5. Indemnification and Release
      1. By entering the contest and participating in any promotions relating thereto, each entrant agrees to indemnify, hold and save harmless, release and defend at his/her own expense, the Sponsor, including their respective affiliates, subsidiaries, parent companies, government agencies, government entities, officers, directors, shareholders, employees, agents, sponsors, participating retailers and any other companies participating in the design, administration or fulfillment of this contest and their respective officers, directors, employees, and agents, harmless from any and all losses, rights, claims, injuries, damages, expenses, costs or actions of any kind resulting in whole or in part, directly or indirectly, from participation in this contest or any contest-related activity, or acceptance, possession, use or misuse of the prize or parts thereof, including without limitation personal injuries, death and property damage and claims based on publicity rights defamation or invasion of privacy.
      2. Each entrant further agrees to indemnify, hold and save harmless and defend at his/her own expense, the Sponsor, its officials and persons performing services for the Sponsor, against any claims, suits, liability, and demands made by any third parties in respect of such infringement or other hazards that may be suffered by the entrant as a result of his/her participation in this contest.
      3. Sponsor is not responsible for submission or prize errors and interruptions, due to, but not limited to, travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather, acts of terrorism, incorrect information, inaccurate information, incomplete information, human errors, technical errors, and the like.
    6. Links to Third Party Sites:
      1. By participating in the Contest, entrants hereby understand and agree that neither Sponsor, nor the Sponsor’s affiliates have any control over the use of third-party websites, whatsoever. Entrants further agree that they are fully responsible for their dealings with any third-party websites are alone responsible for making whatever investigation he/she feels is needed or useful before commencement of dealings, and taking all precautions deemed necessary to protect himself/herself from viruses, worms, Trojan horses, malware and other harmful or destructive materials potentially residing on any third-party website. The Sponsor also assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorized access to or alteration of entries, or any problem or technical malfunctions of any telephone network or line, computer online systems, servers, or providers, computer equipment, software, failure of any online Contest entry to be received on account of technical problems or traffic congestion on the Internet or at any website (including a third-party Website), or any combination thereof, which may limit an entrant’s ability to participate in the Contest.
      2. This contest is in no way sponsored, endorsed, administered or associated with any other third-party websites. All participants, including entrants and voters, agree to completely and fully release all third-parties from any and all portion of this contest and its registration, submission, rules, terms, conditions, prizes, selections, and results.
    7. Tax Information
      1. Any and all applicable Federal, State and local tax liabilities and any other incidental expenses, fees or costs associated with the receipt or use of any prize are the sole responsibility of the winner.
      2. The Sponsor reserves the right to require all contest entrants and contest winners to fill out and submit official tax documentation regarding this contest.

    9. Sponsor Rights
      1. The Sponsor reserves the sole right at any time to modify or discontinue, temporarily or permanently, this contest with or without prior notice.
      2. If a contest submission does not meet the criteria set forth herein, Sponsor reserves the sole right to disqualify and discard any entrant and/or content submission either immediately or at any time during the Contest.
      3. The Sponsor maintains the complete right(s) to pre-review all submissions and submissions may or may not be posted on the contest website or in another media, in the Sponsor’s sole discretion.
      4. The Sponsor does not guarantee the posting of any submission and reserves the sole right to take down any submission for any reason at any time.
      5. The Sponsor reserves the right to review the Submission before posting it online, or to remove any Submission even after it has been posted.
      6. No guarantee is made regarding the length of any review period, or that any particular submission will or will not be posted.
      7. The Sponsor reserves the right, in its absolute discretion, to determine if any particular contest submission is appropriate for posting.
    10. Disputes and Jurisdiction
      1. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants’, Sponsor or the Released Parties in connection with the Contest will be governed by and construed in accordance with the laws of the State of Utah, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in both Utah County and Salt Lake County, Utah in any action to enforce (or otherwise relating to) these Official Rules or relating to this Promotion. BY ENTERING THE CONTEST, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF- POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.
    11. Miscellaneous
      1. The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. The invalidity or unenforceability of any provision of these Official Rules or the Required Documents will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Required Documents is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. For entrants, to the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on the Sponsor’s website or the corresponding social media pages, these Official Rules control.
